Usage Agreement for Solutions Group (UK) Plc copyrighted materials

Definitions

1.1 In these conditions:

• “Solutions Group (UK) Plc” means – Solutions Group (UK) Plc Head office and registered office at Unit 2, Redbourne Park, Liliput Road, Brackmills Industrial Estate, Northamptonshire NN4 7DT

• “Image(s)” means - photographs, illustrations and diagrams pertaining to Solutions Group (UK) Plc’s products or services

• “Text(s)” means – product descriptions, reviews, advertising narrative, slogans and strap lines.

• “Supplied” means – the provision of items of Solutions Group (UK) Plc copyrighted materials in any medium including printed materials, digital files, formatted and unformatted text files, websites, drawings, sketches, films, plans, prints and in any other matter (of whatever nature) in which copyright exists.

• “Use” means – reproduction, inclusion or re-transmission in any medium, in any format including advertisements, reviews, catalogues, price lists, promotional documents, flyers, datasheets, manuals, websites, emails, radio and television.

• “Solutions Group (UK) Plc websites” means – Websites owned and operated by Solutions Group (UK) Plc, its partners and owned or part-owned businesses, including the individual websites of Solutions Group (UK) Plc, Image(s) and text(s)

2.1 Subject to the terms of this agreement, you may use the supplied image(s) and text(s) for your print and digital promotions. The right to use is personal to you and is not transferable by you to another party.

2.2 You may not alter, or modify the image(s), in whole or in part, for any reason. You will not delete, alter, or obfuscate Solutions Group (UK) Plc trademarks and Solutions Group (UK) Plc image(s) should not be used to represent products provided by another vendor or manufacturer.

2.3 You may not use the supplied image(s) or text(s) to sell or offer second hand, refurbished, ex-demonstration or damaged stock.

2.4 The image(s) and text(s) are provided by Solutions Group (UK) Plc on an ‘as is’ basis, without warranty of any kind, including errors and omissions. Solutions Group (UK) Plc reserves the right to alter product specifications at any time for any reason without notice or liability.
2.5 You are responsible for the acceptable use of Solutions Group (UK) Plc supplied Image(s) and text(s).

Logos and trademarks

3.1 Solutions Group (UK) Plc trademarks include, but are not limited to: Solutions Group (UK) Plc, Satellite Solutions, Satsol, Television Solutions, Interactive Solutions and Multimedia Solutions.

3.2 By using a Solutions Group (UK) Plc trademark, in whole or in part, you are acknowledging that Solutions Group (UK) Plc is the sole owner of the trademark.

3.3 Solutions Group (UK) Plc trademarks should be smaller than and in a clearly subordinate position to your company name or logo. Do not use the Solutions Group (UK) Plc trademarks in any way that might suggest that Solutions Group (UK) Plc endorses or is responsible for the content.

3.4 You may not use Solutions Group (UK) Plc trademarks in a disparaging manner.

On-line use

4.1 On-line use includes, but is not limited to websites, emails, instant messages and web banners.

4.2 You are free to download image(s) from Solutions Group (UK) Plc websites in acknowledgement of this usage agreement.

4.3 You may not embed direct links to Solutions Group (UK) Plc hosted image(s) (hot-linking). Solutions Group (UK) Plc Image(s) used must be hosted on your own webserver.

4.4 You may not download or make available off-line the design, content or structure of any Solutions Group (UK) Plc websites.

4.5 Solutions Group (UK) Plc reserved the right to take measures to block unwanted website activity in accordance with clauses 4.2 and 4.3 without notice or liability.

4.6 You may not use Solutions Group (UK) Plc image(s) or text(s) on auction sites, including but not limited to ebay. This includes both new and pre-owned items in accordance with clause 2.3

COPYRIGHT THEFT IS AGAINST THE LAW!

SOLUTIONS GROUP (UK) PLC WILL PERSUE ANY VIOLATOR OR ABUSER OF ITS COPYRIGHT MATERIALS AND TERMS AND CONDITIONS OF USE SET OUT ABOVE.
